Terms of Use

Important Notice: Please read these Terms of Use carefully before using OptiSEO. These terms contain comprehensive limitations of liability, warranty disclaimers, a strict no-refund policy, and mandatory dispute resolution provisions. By accessing our platform, website, API, or CLI tools, you agree to be bound by these Terms.

1. Introduction and Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Enoent LLC ("Company", "OptiSEO", "we", "us", or "our"), governing your access to and use of the OptiSEO website, builder and optimization platform, command-line interface (CLI), reverse proxy services, and associated application programming interfaces (collectively, the "Services").

If you do not agree to these Terms in their entirety, you are strictly prohibited from using the Services and must immediately discontinue access.

2. Description of Services & Advisory Nature

OptiSEO is an automated technical SEO and Generative Engine Optimization (GEO) builder, optimization, and analytics platform. The platform provides automated website auditing, performance scoring, Core Web Vitals analytics, structured data validation, automated schema & meta tag generation, deployment configurations, and AI coding agent prompts.

Advisory Only: All reports, scores, insights, code snippets, and generated recommendations are provided for informational and diagnostic guidance only. They do not constitute professional legal, marketing, or financial consulting. You are solely responsible for testing, verifying, and validating all suggested code changes before publishing or applying them to any production environment.

3. Credits, Purchases & Strict No-Refund Policy

Credit-Based Consumption: Access to full technical audits and AI inference runs is granted via pay-per-use diagnostic credits (e.g., Single Run or Pro 10-Pack tiers). Credits are consumed at the moment a diagnostic crawl and inference workflow is initiated.

STRICT NO-REFUND POLICY: All sales, credit purchases, and transaction fees are final and non-refundable once purchased. Because diagnostic infrastructure, cloud browser instances, and upstream LLM inference costs are incurred immediately upon execution, we do not provide refunds, credits, or charge reversals for completed, partially executed, or cancelled audits.

Sole Discretionary Exceptions: Any refund, credit re-allocation, or account adjustment is granted solely and exclusively at the absolute discretion of Enoent LLC on an exceptional, case-by-case basis. Chargebacks, fraudulent payment claims, or unauthorized payment disputes will result in immediate termination of account access and blacklisting of associated domains.

4. Comprehensive Disclaimer of Warranties ("AS IS")

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, DIAGNOSTIC REPORTS, AND AI-GENERATED CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

ENOENT LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
  • Any warranty that audit results, recommendations, or generated code will improve search engine rankings, traffic, visibility, or revenue on Google, Bing, DuckDuckGo, ChatGPT, Perplexity, Claude, or any other search engine or AI platform;
  • Any warranty that the platform will operate uninterrupted, secure, error-free, or free of malicious components;
  • Any warranty regarding the accuracy, completeness, syntax validity, or reliability of third-party LLM inference responses (e.g., OpenRouter, Qwen, Claude, OpenAI).

5. Absolute Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL ENOENT LLC, ITS DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION:

  • Loss of business profits, lost revenue, commercial interruption, or loss of business reputation;
  • De-indexing, algorithmic penalties, ranking drops, or traffic decreases imposed by third-party search engines or AI systems;
  • Production website downtime, DNS misconfigurations, server crashes, or reverse-proxy packet routing disruptions;
  • Errors, syntax bugs, or rendering malfunctions resulting from the deployment of AI-generated meta tags, schema markup, robots.txt, or htaccess directives;
  • Unauthorized access to, alteration of, or loss of your scanned audit histories or data.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF ENOENT LLC ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO ENOENT LLC IN THE ONE (1) MONTH PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).

6. User Responsibilities & Acceptable Crawl Use

You represent and warrant that you own or have explicit authorization to crawl, analyze, and diagnose any website URL submitted to OptiSEO. You agree not to:

  • Use the Service to launch Denial of Service (DoS) attacks or submit URLs intended to overload origin web servers;
  • Circumvent rate limits, authentication tokens, or payment mechanisms;
  • Reverse-engineer, decompile, or extract proprietary scraping algorithms or source code except where permitted by applicable open-source licenses.

7. Intellectual Property & Generated Artifacts

Subject to your compliance with these Terms, you retain full ownership of your original website content. Code snippets, JSON-LD schemas, and audit reports generated specifically for your target domain may be deployed, modified, and utilized freely for your commercial and personal projects.

Enoent LLC retains all rights, title, and interest in and to the OptiSEO platform, proprietary scoring heuristics, platform design, visual trademarks, and diagnostic frameworks.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in Hamilton County, Tennessee.
